The
complete project management of a corporate finance transaction,
encompassing acquisitions, mergers and disposals including:
Valuation
of company or division subject to a transaction;
Advice on the most appropriate transaction structure, taking
into account such issues as taxation and the Companies Act;
Advice on potential acquisition targets or purchasers (both
financial and strategic buyers);
Preparation of information memoranda and data room for potential
investors/buyers;
Solicitation of investor interest in the case of a disposal;
Assistance in negotiations with counter-parties to a transaction;
Consideration of regulatory requirements affecting a transaction,
including the Competition Act;
Input into and comment on the relevant legal agreements required
for the implementation of a transaction, including sale and

LANCE
WILLIAMS MANAGING

Lance heads up i capital. He provides companies with advice
on issues such as acquisitions, disposals, mergers and takeovers,
and has advised companies on a large number of successful
transactions. He has a detailed knowledge of the regulatory
environment affecting corporate finance transactions, including
knowledge of the Companies Act, associated tax legislation,
the Listing rules of the JSE and the Securities Regulation
Code on Takeovers and Mergers. In addition he has an in
depth knowledge of the various types of valuation techniques
utilised internationally.
He
has a B.Comm BAcc (with distinction) from the University of
the Witwatersrand and graduated in the top ten in the board
exam (QE). He is a member of both the JSE Issuer Services
Advisory Committee and the AltX Advisory Committee. He is
also a co-founder and past director of Young Business for
South Africa, a nonprofit organisation that aims to promote
networking and understanding between all types of young economically
active South Africans.
Prior to his co-founding i
capital, Lance was an associate within the Corporate Finance
division of UBS. At UBS he was involved in executing large
corporate finance transactions, including mergers, acquisitions
and disposals. Lance has been involved in the execution of
a number of high profile transactions involving large listed
companies. Prior to joining UBS (previously Union Bank of
Switzerland Corporate Finance), Lance was employed in the
corporate finance department of the then Price Waterhouse.
During his period of employment at Price Waterhouse, Lance
gained exposure to a range of transactions involving smaller,
primarily unlisted businesses.
ROLAND
SCHONBORN
ASSOCIATE
Roland is an associate
analyst working within the corporate finance team
at i capital. Roland assists on all aspects of
corporate advisory work, including valuations,
research, and the project management of acquisition
and disposal mandates.
Prior to his employment at i capital, he gained
valuable experience in the African listed equity
space gaining exposure to companies across a number
of African countries within diverse industries.
Roland has also been involved in risk management
consulting in the South African banking sector
where he gained significant insight into the dynamics
of risk analysis and risk mitigation. Roland graduated
from the University of Cape Town, completing a
B.Soc.Sci PPE. He is also a Level III CFA candidate.
